British Columbia recently enacted legislation for limited liability partnerships ("LLPs"). Unlike other jurisdictions in Canada, BC LLPs are not restricted to professionals. Considerable interest has arisen in using a BC LLP as a business vehicle. Gordon Funt discusses the distinction between a "full shield" and a "partial shield" LLP and addresses where one may choose to operate as a partial shield LLP.
