There are a multitude of significant labour and employment issues raised by mergers and acquisitions
which require careful consideration. Many business transactions involve large groups of employees
giving rise to significant potential liabilities. The recent introduction of privacy legislation in British
Columbia has added a new level of complexity to this area. By properly addressing employment and
labour relations issues early in the negotiation of a business transaction, the parties can reduce the
risk of claims and the disruption to the business that can result in a poorly executed transfer of
business and employees.
