This paper is divided into two parts. In the first part, the authors discuss some interesting developments in the areas of "Director-Trustee Dilemma," liability under section 227.1 of the Income Tax Act (Canada) and indemnification and liability insurance. In the second part, the authors set out, in greater detail and with a broader scope, some of the many liability issues that directors and officers of charitable and non-profit corporations may face, including statutory liability, investments and borrowing, business and political activity and risk management.
