Board Minutes: Too Much or Too Little?
Author(s): Chu Steinberg, Jenny
Date:  May 3 2007
There is a perennial debate as to whether minutes of meetings of boards and their committees should be detailed or tend toward the perfunctory. This paper outlines the challenge for in-house counsel in reducing litigation risk through good management of the minuting process, plus practical steps to take in approving content and protecting privilege.
