American in-house counsel frequently have responsibility for advising Canadian subsidiaries or branch offices, and with cross-border litigation on the increase, frequently have to engage or consult with Canadian counsel. Therefore a primer on the Canadian approach to privilege and conflicts and some recent developments in these areas may be of assistance in navigating the cross-border legal landscape. A discussion of some privilege and conflict issues of particular relevance to in-house counsel follows in the second section of this paper.
