In Canada, proposed class actions by shareholders who acquired their shares in the secondary market have traditionally met with little success. While a statutory cause of action has long existed in connection with the primary market, where investors purchased securities pursuant to a prospectus or an offering memorandum, shareholders who acquired securities in the secondary market were essentially forced to reply on the common law claim of negligent misrepresentation.
