Mathilde has over 20 years of experience in business law, with a transaction-based practice focused on private equity and venture capital investments and on mergers and acquisitions transactions for national, American and European clients operating in various industries, ranging from the manufacturing industry to the construction, telecommunications, distribution, service and other industries.

As part of her general corporate and commercial practice, Mathilde also counsels various clients on their day-to-day commercial transactions and is regularly involved in reorganization transactions, mainly in the context of her mergers and acquisitions practice.

She has also developed expertise in the construction area and she advises various clients on the development and construction of greenfield and other projects. In relation to construction, Mathilde is familiar with the drafting and negotiation of EPC and EPCM arrangements, and all related consulting, project management and contractor contracts.

Mathilde joined Fraser Milner Casgrain LLP as partner in 1997.

Acted as legal counsel to Petro-Canada in connection with various commercial projects, including construction and infrastructure projects involving the negotiation of various construction agreements

Acted as legal counsel to TransCanada Energy in connection with the construction of a 547 MW gas-fired cogeneration plant, including the negotiation and drafting of all required agreements, from the term sheet to the turnkey EPC contract and related contracts

Acted as legal counsel to Addenda Capital in connection with a reorganization and going-public transaction

Acted as legal counsel to Bell Canada in connection with the creation of Connexim, Limited Partnership, a joint venture between Hydro-Québec, Bell Canada and Confédération des Caisses populaires Desjardins, for the outsourcing of their internal communication networks, including the negotiation of the partnership and shareholders agreement and the transfer of each partner’s assets

Acted as legal counsel to Caisse de dépôt et placement du Québec in connection with their private equity investment with two other institutional investors for the acquisition of two North American leading manufacturers and distributors of luggage and handbags

Acted, since 2007, as legal counsel for various private and institutional investors in the context of their private equity investment in various investment funds, including Garage Technology Ventures Canada L.P., Propulsion Venture III L.P., Brightsparks Venture II L.P., Agechem Ventures L.P., iNovia Capital L.P. (formerly MSBi), Rho Canada L.P. and Genesys Capital L.P.

Acted as legal counsel for four institutional investors in connection with the creation of the investment fund GO Capital, Limited Partnership, a co-investment fund with a co-investment pool of $100 million, dedicated to technology start-up businesses

Acted as legal counsel for some of the institutional investors in connection with the creation of a $400 million buy-out investment fund, Novacap Industries III L.P. and with the creation of a $165 million technology investment fund, Novacap Technologies III L.P.
