REPRESENTATIVE WORK
Acted as Canadian counsel to Irdeto Holdings on its $72.5M acquisition of Cloakware Inc., a Virginia-based software company
Represented a developer of optical networking equipment in the negotiation of a multi-faceted development and supply agreement with a leading international supplier of IT and network solutions (July 2007)
Represented Xandros Corporation in connection with the negotiation and execution of a broad technical, marketing and intellectual property collaboration agreement with Microsoft Corporation relating to the interoperability between open source and commercial software (June 2007)
Advised Branch Banking and Trust Company on technology and transition issues related to its agreement to purchase insurance premium finance company AFCO Credit Corporation and its Canadian affiliate, CAFO Inc., from Mellon Financial Corporation (August 2006)
Acted for a national utility company in a multi-bidder customer service outsourcing process which involved concurrent negotiations with multiple bidders and negotiation of a transition arrangement with the existing outsourcing service provider (2007)
Represented a Canadian public company engaging in facilitating electronic micro payments using RFID technology from start-up through to and including becoming a publicly traded corporation listed on the TSX, including the negotiation of a strategic alliance with Canada’s largest telecommunications carrier
